Terms of Service

Section 1
Overview & Scope

These Terms apply to all users of the Platform, including visitors, registered users, customers, and anyone accessing Syndra on behalf of an organization.

Syndra provides business software that enables customers to manage customer relationships, communications, automation, scheduling, and related business operations.

Section 2
Eligibility & Account Registration

You must be at least 18 years old to use the Platform.

By creating an account, you represent and warrant that:

• You have legal authority to enter into these Terms
• All information provided is accurate and complete
• You are responsible for safeguarding your credentials

You are responsible for all activity conducted through your account.

Section 3
Customer Data & Processor Role

Customers may upload, submit, or process data through the Platform ("Customer Data").

You retain ownership of Customer Data. Syndra acts solely as a service provider and data processor with respect to Customer Data and processes such data only in accordance with customer instructions.

You are solely responsible for:

• Obtaining all required rights, permissions, and consents
• Providing legally compliant notices to your end users
• Ensuring compliance with applicable privacy, messaging, and data protection laws

Section 4
Acceptable Use & Platform Conduct

You agree not to:

• Use the Platform for unlawful, deceptive, or fraudulent purposes
• Violate applicable laws or regulations
• Interfere with system integrity or security
• Transmit malware, harmful code, or abusive content
• Misrepresent identity or affiliation
• Abuse messaging, automation, or communication tools

Syndra reserves the right to investigate and take action for violations.

Section 5
Messaging, SMS & Communications Compliance

Syndra provides mobile messaging to users who have opted in to receive account updates, appointment reminders, and support-related notifications.

Opt-Out

You can cancel the SMS service at any time. Just text "STOP" to the number you receive messages from. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed. After this, you will no longer receive SMS messages from us. If you want to join again, just sign up as you did the first time and we will start sending SMS messages to you again.

If you are experiencing issues with the messaging program you can reply with the keyword HELP for more assistance, or you can get help directly at [email protected].

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

Costs

As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Privacy

User Compliance Requirements

If you use messaging features, including SMS or MMS, for customer-initiated, consent-based communications, you agree that:

• Messages will only be sent to recipients with valid opt-in consent
• Opt-out instructions (e.g., "Reply STOP") will be included
• You will comply with TCPA, CTIA, carrier rules, and applicable laws
• You will not use purchased, scraped, or third-party contact lists

Important: Syndra may suspend or terminate messaging privileges for violations.

Section 6
Fees, Billing & Payments

Certain features require payment.

By subscribing, you agree:

• Fees are billed as disclosed at purchase
• Payments are non-refundable unless stated otherwise
• Failure to pay may result in suspension or termination

Section 7
Intellectual Property

The Platform and all related intellectual property are owned by or licensed to Syndra.

You are granted a limited, non-exclusive, non-transferable license to use the Platform for internal business purposes only.

Section 8
Confidentiality

Each party agrees to protect confidential information and use it only as permitted under these Terms.

Section 9
Security & Availability

The Platform is provided on an "as-is" and "as-available" basis. While reasonable safeguards are implemented, uninterrupted or error-free operation is not guaranteed.

Section 10
Suspension & Termination

Syndra may suspend or terminate access for violations of these Terms or applicable law.

You may terminate your account at any time, subject to outstanding obligations.

Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Section 12
Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNDRA SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Section 13
Indemnification

You agree to indemnify and hold harmless Marketing Munster, LLC dba Syndra from claims arising out of:

• Your use of the Platform
• Customer Data
• Messaging or compliance violations
• Breach of these Terms

Section 14
Governing Law & Venue

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in courts located in California.

Section 15
Modifications to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
